Job Description:
The Group Head of Legal and Compliance, reporting directly to the Chief Finance Officer, assumes a pivotal role in ensuring comprehensive legal and regulatory compliance across the Group and its subsidiaries. The primary function of this role is to provide expert legal and compliance counsel to the Group while actively contributing to the formulation of forward-looking legal strategies that seamlessly align with the Group’s future trajectory.
We are seeking a seasoned Corporate Attorney / Barrister at law specialising in corporate law, skillfully addressing both transactional and litigation matters. The ideal candidate should have a solid track record in corporate legal affairs and a strong business acumen.
Key accountabilities
- Legal Counsel: Provide expert guidance and advice to various business units and departments within our Group on a wide range of legal matters, contracts, and business transactions.
- Contract Management: Skillfully manage the drafting, negotiation, and review of contracts and agreements, safeguarding our Group’s interests and ensuring unwavering compliance with legal requirements.
- Litigation and Risk Management: Coordinate and manage legal disputes, assess risks, and navigate lawsuits with finesse, ensuring our business sails smoothly.
- Intellectual Property: Be the go-to authority on intellectual property matters, including trademarks, copyrights, and patents, and effectively manage our intellectual property portfolio.
- Compliance Expert: Drive and oversee our compliance program, aligning it with international best standards, and provide invaluable support on compliance matters, including AML/CFT.
- AML/CFT Champion: Ensure unwavering compliance with AML/CFT rules, covering customer due diligence, policies and procedures, suspicious transaction reporting, regulatory compliance, audit, and risk management. Collaborate closely with HMT and Internal Auditor colleagues.
- Data Protection Guardian: Safeguard sensitive and confidential information, ensuring full compliance with the DPA Act and relevant laws. Your role extends to data privacy, security, management, risk assessment, and incident monitoring.
- Regulatory Compliance Virtuoso: Ensure our unwavering compliance with laws, regulations, and industry standards governing operations. Stay vigilant by monitoring changes in legal landscapes and implementing proactive measures to guarantee compliance.
- Risk Management Maestro: Assess legal and compliance risks, and manage these risks effectively, allowing us to navigate turbulent waters with confidence.
- Reporting: Provide periodic reports on the state of legal affairs through defined registers, risks identified, and proposals for consideration to the Audit Committee and/or the Board.
Qualifications and Experience Required:
- Sworn attorney or barrister.
- An LLB from a duly recognised educational institution. An LLM will constitute a definite advantage.
- A minimum of 5 years’ experience at a similar position in a corporate environment
- Strong commercial acumen, performance and results-oriented and the ability to understand and align legal advice with business objectives.
- Excellent communication, negotiation and problem-solving skills.
- Highly organised and detail-oriented, with the ability to manage multiple assignments simultaneously.
- Demonstrated ability to work independently and collaboratively in a team.
